1. Services Provided

TruOffer is a real estate investment company that markets, assigns, and/or purchases contractual interests in real property. TruOffer is not a real estate brokerage unless explicitly stated otherwise.

We may:

• Enter into purchase agreements with sellers

• Assign contractual interests to end buyers

• Market properties under equitable interest

• Facilitate transactions with third-party buyers, sellers, and title companies

2. No Agency or Fiduciary Relationship

TruOffer does not act as an agent, broker, or fiduciary for buyers or sellers unless explicitly agreed to in writing. All parties are acting independently and are responsible for conducting their own due diligence.

3. Property Information & Disclosures

All property information provided by TruOffer is believed to be reliable but is not guaranteed. Properties are offered AS-IS, WHERE-IS, with all faults.

TruOffer makes no representations or warranties, express or implied, regarding:

• Property condition

• Value, ARV, or rental income

• Zoning or permitted use

• Title condition or insurability

Buyers are strongly encouraged to perform independent inspections and verify all information.

4. Assignments & Fees

When applicable, TruOffer may assign its contractual interest in a property. Assignment fees are disclosed separately in the applicable Assignment Agreement and are typically paid at closing through escrow.

All assignment fees are earned upon execution of the assignment agreement and are non-refundable, except as explicitly stated in writing.

5. Earnest Money

Earnest money deposits submitted by buyers are generally non-refundable, except as outlined in the applicable agreement. Failure to close as agreed may result in forfeiture of earnest money.

6. No Legal, Tax, or Investment Advice

TruOffer does not provide legal, tax, or investment advice. Any information provided should not be relied upon as professional advice. You are encouraged to consult licensed professionals before entering into any transaction.

7. Limitation of Liability

To the fullest extent permitted by law, TruOffer shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or related to-

• Use of our website or services

• Any real estate transaction

• Failure of a transaction to close

• Errors or omissions in property information

8. Indemnification

You agree to indemnify and hold harmless TruOffer, its members, managers, employees, and affiliates from any claims, damages, losses, or expenses arising from your use of our services or participation in any transaction.

9. Intellectual Property

All content on this website, including text, logos, branding, and materials, is the property of TruOffer and may not be copied, reproduced, or used without prior written consent.

10. Communications

By submitting your contact information, you consent to receive communications from TruOffer via phone, email, and/or SMS. Message and data rates may apply. You may opt out at any time.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the state in which TruOffer LLC is organized, without regard to conflict of law principles.
